What is an American Depositary Share (ADS)?
An American Depositary Share, or ADS, is a negotiable U.S. security representing ownership of publicly traded shares in a non-U.S. corporation. ADSs are quoted and traded in U.S. dollars in the U.S. securities market. Dividends and other cash entitlements, when paid, are paid to investors in U.S. dollars. ADSs were specifically designed to facilitate the purchase, holding and sale of non-U.S. securities by U.S. investors
What is an American Depositary Receipt (ADR)?
An ADR is a physical certificate evidencing the number of ADSs you own. The term is often used to refer to the ADSs themselves.
On which stock markets is the SAN share quoted?
The Santander share is currently quoted on the 4 Spanish stock markets through the Continuous Market and in London, Milan, New York, Lisbon, Buenos Aires and Mexico.

Santander is quoted on the New York Stock Exchange under the symbol "STD" in ADS format. JP Morgan, as the issuer, issues the Santander ADS. Each Santander ADS represents the ownership of one ordinary Santander share.
Can I access my registered shareholder account online?
Shareholders may view their account history, place a sale request, update their address of record, obtain forms, and perform other account maintenance tasks through J.P. Morgan.

Once previous SOV shares have been converted, Shareholders will be asked to establish or enter a secure PIN code, then enter a 12-digit Investor ID code.

What dividends will I be paid if I buy shares?
The future dividend of your shares cannot be quantified and will basically depend on 2 factors: net attributable profit divided by the number of shares for profit per share, and the policy for profit distribution via dividends.

Dividends are paid in U.S. dollars.
When am I paid dividends?
  • From August 1st: first dividend based on the results of the current year
  • From November 1st: second dividend based on the results of the current year.
  • From February 1st: third dividend based on the results of the year just closed.
  • From 1 May: fourth dividend, or extra dividend
The approval of the total dividend to be paid for a given year is the responsibility of the Annual General Meeting that is usually held in the first half of each year.

How can I buy Banco Santander ADSs?
U.S. and Canadian residents can purchase Banco Santander ADSs through a broker dealer or through a Direct Purchase Plan (the "Plan").

The Plan is sponsored and administered by J.P. Morgan. The Plan registration is open to U.S. and Canadian residents only and is designed to provide existing owners of ADSs and new interested investors who would like to participate in the Plan a convenient way to invest and/or increase their investment in Banco Santander ADSs.

The plan allows you to reinvest your dividend. Banco Santander has agreed to the establishment of the Plan by J.P. Morgan but does not, and should not be deemed to, sponsor or administer the Plan.
